Thank you for choosing Force Design for your translation needs. This page contains the Terms and Conditions for all file translation services of Force Design. By agreeing to these terms and conditions, the customer is bound to these terms and conditions. If you are accepting these terms on behalf of another party, you represent and agree that you have full legal authority to bind the party you represent to these terms and conditions.

Privacy:
Protecting the customer's privacy is very important to Force Design. All Force Design employees have signed a confidentiality agreement. Also, your files are uploaded/downloaded via a 128-bit encrypted SSL to prevent your information from being retrieved by the wrong party.

Termination/Refusal of Service:
Force Design reserves the right to refuse or terminate translation services to any customer as it sees fit. Force Design will provide in writing an explanation of refusal or termination to the customer within (5) business days. The customer can terminate service by providing written notice within (5) business days of initial file upload. If partial service was provided during this time period, the customer will pay balance as specified by Force Design.

Invoicing:
Force Design will provide the customer an invoice outlining services provided and cost thereof. If the customer does not meet the payment deadline, Force Design will enforce a 2% interest per month penalty. If an external collection agency is involved, the customer is responsible for paying the cost of the external collection agency.

Liability:
Force Design will not accept liability for any data provided or for the converted data. The customer is ultimately responsible to deem files translated as meeting the customer's specifications. Force Design will take every effort to ensure file accuracy when translating files, but does not accept liability for file accuracy. If files are found to be corrupt or unreadable, Force Design will notify the customer. In no event will Force Design or its employees be liable for any damages, including, but not limited to, direct, indirect, consequential, special, exemplary, punitive, and/or incidental damages including those stemming from negligence or arising out of the use or inability to use the translation(s) provided even if Force Design has been notified orally or in writing of the possibility of such damages.

Changes to the Terms and Conditions:
Force Design reserves the right to change or modify the terms and conditions as it sees fit, without notice or liability to the customer. You agree to be bound to these terms and conditions as they are modified.

Miscellaneous Provisions:
These terms and conditions will be governed by and construed in accordance with the laws of the State of Ohio, without giving effect to the conflict of laws provisions of Ohio or your actual state or country. If any competent jurisdiction finds any portion of these terms and conditions unenforceable, the remaining terms and conditions still are applicable to the agreement. These terms and conditions constitute the complete agreement between both parties with respect to the subject matter herein and supersede any and all prior understandings or agreements, written or verbal, regarding such subject matter. Any waiver of any provision of these terms and conditions will be effective only if in writing and signed by Force Design.
